Welcome to Genisound. Please read these Terms of Service (“Terms”, “ToS”) carefully before using our website (https://www.genisound.com) and the Genisound background audio streaming platform (the “Service”) operated by Genisound (“us”, “we”, or “our”).
By creating an account, subscribing to our plans, or accessing the Service, you confirm that you are acting strictly in a professional or business capacity (B2B) and agree to be bound by these Terms. If you disagree with any part of these terms, you may not access the Service.
1. B2B Commercial Licensing & Permitted Use
Genisound is a specialized business-to-business (B2B) platform. The Service provides curated background audio solutions intended strictly for public performance and broadcasting within commercial environments (such as cafes, restaurants, retail outlets, corporate offices, and hospitality spaces).
* Licensing Compliance: Your active subscription includes a commercial background music playback license for your designated business location(s). This replaces the need for personal consumer accounts (e.g., personal Spotify or Apple Music accounts), which are legally prohibited in commercial spaces.
* Account Limitations: One subscription covers one physical commercial location unless a multi-location enterprise plan is explicitly agreed upon. You may not broadcast Genisound audio in locations not covered by your active subscription tier.
* Prohibited Use: You agree not to download, rip, record, redistribute, or modify any audio streams provided through the web player.
2. Subscription Tiers, Billing, and Cancellations
We operate on a software-as-a-service (SaaS) subscription model with recurring fees based on your selected plan:
* The Subscription Plans: We offer a standard tier (“Local Plan”) and a premium tier (“Signature Plan”), each with features and price points detailed on our pricing page.
* Recurring Billing: Subscriptions are billed in advance on a monthly recurring cycle. Payments are securely processed via our third-party merchant provider (e.g., Stripe, Lemon Squeezy).
* Automatic Renewal & Cancellation: Your subscription automatically renews every month. You can cancel your subscription at any time via your account dashboard. Upon cancellation, you will retain access to the Service until the end of your current paid billing period, after which access will be terminated. No refunds are provided for partial monthly periods.
3. Content: The Monthly Reset & The Vault
Genisound utilizes a unique dynamic curation schedule to eliminate audio fatigue:
* 100% Monthly Refresh: Every thirty (30) days, the standard active music rotation is completely purged and replaced with brand-new curated audio sets.
* The Signature Vault: Access to historical sets, archived monthly playlists, and special seasonal collections (such as exclusive “Summer Terrace” or holiday tracks) is strictly restricted to active subscribers on our “Signature Plan”. Local tier users permanently lose access to previous monthly sets once the 30-day cycle resets.
4. Intellectual Property Rights
All software, player frameworks, brand design assets, signature lime green accents, logo icons, text layouts, and AI-enhanced music curation algorithms utilized on the platform are the exclusive intellectual property of Genisound and its licensors. These Terms grant you a limited, non-exclusive, revocable license to stream the provided audio within your business, but convey no ownership rights over our platform or content.
5. Disclaimer & Limitation of Liability
The Service is provided on an “AS IS” and “AS AVAILABLE” basis. While we strive to ensure a seamless auditory experience, Genisound does not guarantee uninterrupted service, 100% server uptime, or absolute compatibility with all third-party audio hardware systems.
To the maximum extent permitted by law, Genisound shall not be liable for any indirect, incidental, or economic damages (including loss of business revenue or profits) arising from technical glitches, temporary stream downtime, or routine maintenance resets. Our total aggregate liability shall never exceed the total fees paid by your business to Genisound during the twelve (12) months preceding the claim.
6. Governing Law
These Terms and any operational disputes arising from the use of the Service shall be governed by and construed in accordance with the laws of the European Union, without regard to conflict of law principles.
